These Terms of Use (“Terms”) govern your access to and use of the Prezense website at prezense.app and any related early access or platform services we make available (collectively, the “Service”).
By accessing or using the Service, or by requesting early access, you agree to these Terms. If you do not agree, do not use the Service.

Who we are
Prezense (“Prezense,” “we,” “us,” or “our”) is an e-commerce platform that helps merchants build, run, and grow their businesses.

The Service
The Service currently includes our public website and early access request process. We may later provide merchant tools for commerce operations, including storefronts, orders, shipping, and email communications.
We may change, suspend, or discontinue any part of the Service at any time. We do not guarantee that any feature will be available by a particular date, or that early access will result in a full account or paid subscription.
Early access
Submitting your email for early access does not create a commercial account, paid subscription, or entitlement to use the platform.
We may accept, decline, delay, or revoke early access at our discretion. We may use your email to communicate with you about Prezense in accordance with our Privacy Policy.
Acceptable use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service, related systems, or data
- Interfere with or disrupt the Service or other users
- Scrape, crawl, or harvest data from the Service except as permitted by us in writing
- Reverse engineer, copy, or misuse our software, branding, or content except as allowed by law
- Submit false, misleading, or harmful information
- Use the Service to send spam or abusive communications
Accounts
When accounts become available, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us promptly if you believe your account has been compromised.
You must provide accurate information and keep it up to date.
Merchant and platform use
When the Prezense platform becomes available, merchants remain solely responsible for:
- Their store content, products, pricing, and customer relationships
- Compliance with applicable laws, including consumer, privacy, advertising, and email laws
- Emails and other communications they send to their customers
- Carrier accounts, shipping decisions, labels, and fulfillment operations they initiate
Prezense provides software and infrastructure. We do not become the merchant of record for merchant sales unless we expressly agree otherwise in writing.
Intellectual property
The Service, including its design, software, text, logos, and branding, is owned by Prezense or its licensors and is protected by applicable intellectual property laws.
You may access and use the public website for lawful, personal, or internal business evaluation purposes. You may not copy, modify, distribute, sell, or create derivative works from our materials without our prior written permission, except as allowed by law.
Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you also acknowledge that policy.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREZENSE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any content will be accurate or complete.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREZENSE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the fullest extent permitted by law.
Indemnity
You agree to indemnify and hold harmless Prezense and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
Termination
You may stop using the Service at any time.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service.
Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law.
Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page will reflect the latest version. Continued use of the Service after changes means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts of Ontario, Canada, and you consent to personal jurisdiction there.
